These Terms and Conditions govern your use of the Ironclad Vault. By creating an account or using the Ironclad Vault, you agree to these terms.
The Ironclad Pan Company Limited (including its subsidiaries (whether incorporated in New Zealand or elsewhere), related companies (as defined in section 2(3) of the Companies Act 1993), and its and their respective successors and permitted assigns), trading as The Ironclad Co. (Ironclad, we, us or our) provides the Ironclad Vault for use by its customers, owners of Ironclad products and/or their permitted family or other invited people.
If you do not agree to these terms, please do not create an account or use the Ironclad Vault.
1. What is the Vault?
The Ironclad Vault is a digital service connected to Ironclad cookware. It gives you access to product information, care guidance and recipes made for the Ironclad product that you own. It also gives you a place to register your guarantee and preserve your own recipes, photographs, stories and traditions.
The Ironclad Vault is designed to remain with an Ironclad product when the cookware is handed to another generation. The pan carries the marks. The Ironclad Vault carries the knowledge.
The Ironclad Vault does not replace any care instructions supplied with your cookware or the terms of the Three Generation Guarantee®. If these terms conflict with the guarantee in relation to a guarantee claim, the guarantee terms apply to that claim.
2. Who may use the Ironclad Vault
You must have reached the age of 18 to create an Ironclad Vault account. A parent or guardian may hold and manage an account that contains appropriate family material involving their children in accordance with the Privacy Policy. If you upload an image of a child, you warrant that you are the parent or legal guardian of that child or have obtained the explicit, verifiable consent from that child’s parent or legal guardian.
You may use the Ironclad Vault only for personal and household purposes. It may not be used for commercial purposes. You must provide accurate information and keep your account details current.
3. Your account
You are responsible for:
- keeping your password and sign-in details secure;
- activity carried out through your account;
- making sure the email address connected to your account remains current; and
- telling us promptly if you believe your account has been accessed without permission.
You must not sell, impersonate another person through, or use another person’s account without authority.
We may ask you to provide reasonable evidence that you own or are authorised to manage an Ironclad product or Ironclad Vault, particularly when registering a guarantee, recovering an account or requesting a transfer.
4. Registering an Ironclad product and its guarantee
Registration connects an Ironclad product and its guarantee record to an Ironclad Vault. You must provide information that is complete and accurate to the best of your knowledge.
Registration does not expand, replace or reduce any rights you have under the Three Generation Guarantee®, the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993, or any other law that applies to you.
We may correct or remove a duplicate, fraudulent or incorrect registration after making reasonable enquiries.
5. Your content
You keep ownership of the recipes, photographs, stories, notes and other original content that you add to the Ironclad Vault (your content).
You give Ironclad a non-exclusive, worldwide, royalty-free licence to host, store, back up, reproduce, format and display your content only as reasonably needed to operate, maintain, secure and improve the Ironclad Vault, follow your instructions, and comply with the law. This licence lasts for as long as your content remains in the Ironclad Vault or in our backups.
This licence does not allow us to use private Ironclad Vault content in advertising, publish it publicly, sell it, or claim it as our own without separate permission from the person entitled to give that permission.
You are responsible for your content. You warrant that you have the rights and permissions needed to add it and share it with anyone you invite. In particular, you must consider the privacy, copyright and other rights of people shown, named or described in your content. If you import or upload recipes, you are responsible for ensuring that you have the right to save and use that content. We are not responsible for copyright violations related to content imported by you.
6. Inviting other people
You may be able to invite family members or other trusted people to view or contribute to an Ironclad Vault. Their access will depend on the permissions available in the Ironclad Vault.
You are responsible for:
- sending invitations only to people you intend to invite;
- checking that their contact details are correct;
- choosing suitable access permissions; and
- removing access when it is no longer appropriate.
An invited person must use their own account and comply with these terms. People with permission to contribute may be able to add, change or remove content. Please invite only people you trust.
7. Handing on an Ironclad product and its Ironclad Vault
The Ironclad Vault is designed so that the knowledge connected to an Ironclad product can be handed on with the cookware.
If you ask us to transfer control of an Ironclad Vault, we may require reasonable evidence of your identity, authority and the intended new holder. We may contact existing account holders or contributors before completing the transfer.
A new authorised holder may be able to access content already stored in the Ironclad Vault. Before handing on an Ironclad product, you should review the Ironclad Vault, remove anything that should not pass with it, and tell other contributors where appropriate.
We may delay or refuse a transfer where ownership or authority is disputed, information is incomplete, or completing the transfer could breach the law or another person’s rights. We are not a court or succession service and cannot decide complex ownership, estate or family disputes.
8. Acceptable use
You must not use the Ironclad Vault to:
- break the law or encourage unlawful conduct;
- infringe, violate or misappropriate another person’s copyright, privacy, intellectual property or other rights;
- upload content you do not have permission to use;
- harass, threaten, abuse, impersonate or deceive another person;
- upload malicious code or interfere with the security or operation of the Ironclad Vault;
- obtain unauthorised access to another account, Ironclad Vault or system;
- use automated systems (bots, scrapers) to access the Ironclad Vault;
- scrape, copy or extract content or data using automated means without our written permission;
- use the Ironclad Vault to send or upload spam, advertising material, promotional content or unsolicited marketing;
- reverse engineer or attempt to discover source code except where the law expressly permits it; or
- use the Ironclad Vault commercially, resell access, or build a competing service from it.
9. Content we may remove
We may monitor, moderate and restrict access to or remove content where we reasonably believe it:
- breaches these terms, the Privacy Policy, or the law;
- is inappropriate, discriminatory, unsafe, or contains hate speech or harassment;
- infringes another person’s rights or safety;
- includes graphic violence, pornography, or obscene material;
- violates copyright or intellectual property rights;
- contains false or misleading information;
- promotes dangerous or illegal activities;
- creates a security or safety risk;
- is technically harmful; or
- must be removed in response to a lawful request.
Where appropriate, we will try to give you notice and an opportunity to respond. We may act without advance notice where the issue is urgent, unlawful, dangerous or could harm another person or the Ironclad Vault.
10. Ironclad content and intellectual property
The Ironclad Vault, its design, software, branding, product information, care guidance, editorial material and Ironclad recipes are owned by or licensed to Ironclad and are protected by intellectual-property laws.
We give you a limited, personal, non-exclusive, non-transferable and revocable right to access and use that material through the Ironclad Vault for personal and household purposes. You must not reproduce, publish, sell, licence or commercially exploit it without our written permission, except where the law permits.
The Ironclad name, logos, Three Generation Guarantee®, Good for Generations™ and other Ironclad marks remain the property of Ironclad.
11. Recipe and care information
Recipes, cooking times, temperatures and care guidance are general information. Results vary according to ingredients, equipment, heat sources, technique and conditions.
You remain responsible for food safety, allergies, dietary requirements, safe handling of hot cookware, ventilation, suitable heat sources and following the safety and care instructions supplied with your Ironclad product.
Nothing in the Ironclad Vault is medical, nutritional or other professional advice.
12. Availability and changes
We want the Ironclad Vault to remain useful across generations. That is an intention, not a promise that the present technology, features or format will remain unchanged forever.
We may maintain, update, repair or change the Ironclad Vault, including its design and features. We may temporarily interrupt access for maintenance, security, technical problems or circumstances beyond our reasonable control.
If we make a change that materially reduces your ability to access or preserve your own content, we will take reasonable steps to give you notice and, where reasonably available, an opportunity to download or retrieve that content.
13. Third-party services
The Ironclad Vault relies on third-party technology and may contain links to other websites or services. Those third parties may have their own terms and privacy policies.
We are not responsible for third-party services that we do not control. This does not limit any responsibility we have under applicable consumer law for services we supply to you.
14. Privacy
Our Privacy Policy explains how we collect, use, disclose and protect personal information in connection with the Ironclad Vault. It forms part of these terms and is available at our Privacy Policy page.
15. Closing your account
You may ask to close your account by contacting hello@ironcladpan.com.
Closing your account may remove your access to the Ironclad Vault but may not immediately delete:
- guarantee and product-registration records we reasonably need to retain;
- content that forms part of an Ironclad Vault shared with other authorised people;
- information that we must retain by law or reasonably need for fraud prevention, security or dispute resolution; or
- temporary backup copies that are deleted through our ordinary backup cycle.
Before closing an account, you should save any content you want to keep and arrange the future control of any Ironclad Vault intended to pass with an Ironclad product.
16. Suspension and termination
We may suspend or end your access where we reasonably believe that you have seriously or repeatedly breached these terms, created a security risk, acted unlawfully, infringed another person’s rights, or used the Ironclad Vault in a way likely to harm Ironclad or other users.
Where appropriate, we will give you notice and a reasonable opportunity to fix the issue. We may act immediately where necessary to protect security, prevent harm, comply with the law or respond to an urgent situation.
Where reasonably possible and lawful, we will allow you to retrieve your own content before permanent termination.
Upon termination, your right to use the Ironclad Vault ceases immediately.
17. If the Ironclad Vault is discontinued
If we decide to permanently discontinue the Ironclad Vault, where practicable, we will give reasonable notice and take reasonable steps to let account holders download or retrieve their own content before the service closes.
We may not give notice where continued operation is unlawful, unsafe, technically impossible or prevented by circumstances outside of our reasonable control.
18. Consumer rights
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
If you are in Australia, you may have rights under Australian Consumer Law. If you are in New Zealand, you may have rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986. Those rights apply in addition to these terms.
19. Our responsibility
We will provide the Ironclad Vault with reasonable care and skill and comply with the consumer guarantees and other legal obligations that apply to us.
To the extent permitted by law, we are not responsible for loss caused by:
- your failure to keep your account secure;
- content added, changed or deleted by you or someone you authorised;
- inaccurate information you provide;
- your use of the Ironclad Vault contrary to these terms or our reasonable instructions;
- a third-party service or event outside our reasonable control;
- suspension or termination of your account or Ironclad Vault in accordance with clause 16 of these terms;
- discontinuance of the Ironclad Vault in accordance with clause 17 of these terms; or
- a dispute between family members, contributors, owners or successors that we did not directly cause.
To the extent permitted by law, we are not liable for any indirect or consequential loss that was not reasonably foreseeable when you began using the Ironclad Vault.
We do not warrant that:
- the Ironclad Vault will be uninterrupted, secure, or error-free;
- any errors or defects will be corrected; or
- the Ironclad Vault will meet your specific requirements.
Nothing in this section limits liability that cannot legally be limited, including liability for fraud, deliberate misconduct, or any consumer right or remedy protected by law.
20. Your responsibility to us
You are responsible for loss reasonably suffered by Ironclad as a direct result of your unlawful conduct, deliberate misuse of the Ironclad Vault, or serious breach of these terms. You agree to indemnify, defend, and hold harmless Ironclad and its affiliates, officers, employees, and agents from any reasonable claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- your misuse of the Ironclad Vault;
- your serious violation of these terms;
- your violation of any rights of another person or entity; and
- your user content.
You are not responsible for loss caused by Ironclad, our failure to take reasonable care, or matters outside your reasonable control.
21. Changes to these terms
We may update these terms when the Ironclad Vault, our business or the law changes.
If a change materially affects your rights or use of the Ironclad Vault, we will take reasonable steps to tell you before it takes effect. If you do not accept a material change, you may stop using the Ironclad Vault and close your account. For all other changes, your continued use of the Ironclad Vault constitutes acceptance of any changes.
The current version will show the date it was last updated. Changes will not operate retrospectively unless required by law or agreed with you.
22. Governing law
These terms are governed by the laws of New Zealand. The courts and tribunals of New Zealand may hear disputes relating to these terms.
If you live in Australia or another country, this section does not prevent you from relying on mandatory consumer protections or bringing a claim in a court or tribunal available to you under applicable law.
23. General terms
If part of these terms is found to be unlawful or unenforceable, the remaining terms continue to apply.
If we do not enforce a term immediately, that does not mean we waive it.
You may not transfer your account or your rights under these terms except through an authorised Ironclad Vault handover or with our written agreement. We may transfer our rights and obligations as part of a genuine sale, restructure or transfer of the relevant business, provided this does not reduce your rights under applicable law.
These terms, the Privacy Policy and any applicable guarantee terms form the agreement between you and us concerning the Ironclad Vault.
